SOPHOS EDUCATION LTD (trading as “Studia”) | Company Number: 14321333

Registered Office: 10 St. Edmunds Square, London, England, SW13 8SA

PLEASE READ THESE TUTOR TERMS CAREFULLY

Please read these Tutor Terms (hereinafter — the “Terms”) carefully before using the Studia Platform and/or Services (as defined below). If you do not accept these Terms in their entirety, you must not access or use the Studia Platform. By ticking the acceptance checkbox during registration, or by continuing to use the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1. About These Terms

1.1 Purpose

These Terms govern the use of the Studia Platform by tutors who provide 1-to-1 tutoring services to Students. When you teach through the Platform, you supply your tutoring services directly to the Student. Studia acts as your commercial agent: it introduces Students to you, arranges bookings, and collects payment on your behalf. Studia does not supply tutoring services itself. These Terms set out the agency relationship between Studia (operated by Sophos Education Ltd) and you as a self-employed, independent tutor.

1.2 Related Policies

These Terms should be read alongside the following documents, which form part of your obligations when using the Platform:

  • Terms of Service — the platform rules that apply to all users
  • Privacy Policy — how personal data is collected, used, and protected
  • Community Guidelines — conduct expectations for all users

Where there is a conflict between these Terms and the Terms of Service or Community Guidelines, these Terms take precedence in relation to the commercial terms of your engagement with Studia. For conduct, safeguarding, and platform usage matters, the Terms of Service and Community Guidelines apply in full.

1.3 Commencement

These Terms take effect from the date you tick the acceptance checkbox during registration, or from the date you first access or use the Platform as a tutor, whichever is earlier.

2. Definitions

The following definitions apply throughout these Terms:

3. Self-Employed Status and Studia’s Role as Your Agent

3.1 Nature of the Relationship

You are self-employed. Studia acts as your agent for the limited purpose of providing the Agency Services. You are not Studia’s agent, and nothing in these Terms creates employment, worker status or a partnership between you and Studia. You must not hold yourself out as an employee, worker, agent or partner of Studia.

3.2 How the Agency Works

3.2.1 Your contract is with the Student. Each 1-to-1 Session is a contract between you and the Student (or their Parent). You supply the tutoring directly to them, in your own name and personal capacity.

3.2.2 Studia’s contract covers only its own services. Any contract Studia has with a Student or Parent covers only the Agency Services, such as booking and use of the Platform. It does not cover the tutoring itself.

3.2.3 Accepting students. You have full discretion to accept or decline any Student or booking request.

3.2.4 Collecting payment on your behalf. Studia collects Session Fees on your behalf through Stripe. Stripe splits each payment between your Stripe connected account and Studia, as described in Section 6.

3.2.5 Invoices and receipts. Any invoice or receipt for a 1-to-1 Session is issued in your name, as the supplier of the tutoring. Studia issues it on your behalf through the Platform.

3.2.6 Studia’s fee. Studia’s Commission is its separately identifiable fee for the Agency Services.

3.2.7 Complaints about tutoring. A complaint about the tutoring you deliver is a matter between you and the Student or Parent, and you are responsible for resolving it. Studia may share information and help with communication. If the two of you cannot agree, either of you may propose an independent mediator. This does not affect Studia’s safeguarding obligations under Section 8, or how refunds are handled under Section 6.4.

3.3 Tax and National Insurance

You are solely responsible for:

  • Registering with HM Revenue and Customs as self-employed (or through a limited company, as appropriate)
  • Paying your own income tax, National Insurance contributions, and any other applicable taxes
  • Submitting your own tax returns and maintaining accurate financial records
  • Complying with all applicable tax legislation
  • Providing Studia with your Unique Taxpayer Reference (UTR) during onboarding. If you have not registered yet, you must do so and send us your UTR within 3 months of your first paid session
  • Registering for VAT yourself if your own turnover requires it

Studia does not deduct income tax or National Insurance from your earnings and will not issue P45s or P60s. The VAT deducted from each Session Fee under Section 6.1 is not a deduction of your income tax.

3.4 Freedom to Provide Services Elsewhere

You are free to provide tutoring or other services to third parties, whether through other platforms or independently, subject to the non-circumvention obligations set out in Section 12.

3.5 Control of Work

Studia does not direct or control how you deliver your tutoring. You decide your own teaching methods, lesson content, schedule and price (within the range on the Platform), and which Students you teach. Studia may set reasonable quality standards and policies that you are expected to follow as a condition of using the Platform.

3.6 Right to Work and Visa Compliance

You are solely responsible for ensuring that you have the legal right to work in the jurisdiction from which you provide tutoring services, including any applicable visa permissions or work authorisation requirements. Studia does not verify, guarantee, or take any responsibility for your immigration status or your eligibility to provide paid services under the terms of any visa or leave to remain you hold.

If you are based outside the United Kingdom, or if you are a non-UK national providing services from within the UK, you must satisfy yourself — and if necessary seek independent legal advice — that providing tutoring services through the Platform is permitted under the conditions of your visa or immigration status. This includes, but is not limited to, any restrictions on self-employment, the number of hours you may work, or the type of work you may perform.

3.7 Studia-Produced Assets, Likeness and Marketing

3.7.1 Definitions. “Studia Assets” means photographs, video, audio and other creative material produced by or on behalf of Studia in which you appear, including studio photography, introduction videos filmed or edited by Studia, and any edits or derivative works. “Tutor-Supplied Assets” means images or video you upload yourself.

3.7.2 Ownership. All intellectual property in Studia Assets belongs to Studia. You acquire no rights in them. Studia grants you a personal, non-transferable licence to use your own Studia Assets for your own professional purposes, provided Studia branding is not altered or removed.

3.7.3 Use of your likeness. You grant Studia a worldwide, royalty-free, non-exclusive licence to use Studia Assets, together with your name, likeness, image, voice, subject, university and biographical information, to market and promote Studia and the Platform. This includes the Studia website and apps, owned social channels, paid advertising, app store listings, press and partner materials, and materials for schools. Studia does not need your permission for each individual use, and you are not entitled to approve individual uses or to further payment.

3.7.4 Tutor-Supplied Assets. Studia may use Tutor-Supplied Assets on the Platform and on Studia’s owned channels. Studia will ask your permission before using Tutor-Supplied Assets in paid advertising.

3.7.5 Removal. You may ask Studia to stop using your Studia Assets by writing to support@studia.io. Studia will remove them from its website, apps and owned social channels within 30 days. Studia is not required to recall printed materials, advertising already placed, or content reposted by third parties, and may retain copies in internal archives. Removal does not affect the operational licence in Section 10.2.

3.7.6 Duration. This licence continues while you tutor on the Platform and for 12 months afterwards, subject to 3.7.5.

3.7.7 Limits on use. Studia will not use your likeness in a way that is defamatory, that implies you endorse a product or organisation unrelated to Studia, or that misstates your qualifications. Studia may stop featuring you at any time and is under no obligation to use your Studia Assets.

3.7.8 Moral rights. To the extent permitted by law, you waive your moral rights in Studia Assets.

4. Studia’s Agency Services

As your agent, Studia provides the following Agency Services:

  • 1-to-1 tutoring environment — video, audio, and screen sharing
  • Payment collection on your behalf — Studia collects each Session Fee through Stripe, which splits the payment between you and Studia
  • Scheduling and booking system — for Students to find available slots and book sessions
  • Student matching and discovery — search, recommendations, and browsing features
  • Safety monitoring and content moderation — AI-powered and human-reviewed moderation
  • Tutor Profile Hosting — your public profile featuring your photo, profile video and credentials

Studia may add, modify, or discontinue features of the Platform from time to time with reasonable notice where material changes affect your ability to deliver services.

5. Tutor Obligations

5.1 Quality of Service

You agree to:

  • Deliver high-quality, engaging, and educationally valuable instruction
  • Prepare adequately for 1-to-1 Sessions
  • Align your teaching to the relevant UK curriculum standards (Key Stage 2, Key Stage 3, GCSE, A-Level, or university entrance) where applicable
  • Maintain a professional environment and appearance during all video sessions
  • Use accurate and up-to-date subject knowledge

5.2 Professionalism and Communication

You agree to:

  • Maintain respectful and age-appropriate communication with all Students and Parents at all times
  • Respond to Student and Parent messages within 24 hours during working days
  • Keep your Tutor profile updated with accurate information about your qualifications, experience, and availability
  • Keep a verified mobile number on your Tutor account. We text you a reminder before each 1-to-1 Session you teach, and you can switch reminders off in Settings › Account › Notifications.
  • Follow all Studia policies and any supplementary codes of conduct we may issue

5.3 Attendance and Punctuality

You agree to:

  • Attend on time all scheduled 1-to-1 Sessions and Free Trial bookings
  • Provide at least 24 hours’ notice if you need to cancel or reschedule a session (except in genuine emergencies)
  • Notify Studia promptly if you will be unavailable for an extended period
  • Notify Studia promptly if you are unable to take on any more students and adjust your calendar

5.4 Safeguarding

Your safeguarding obligations are set out in detail in Section 8. As a Tutor on a platform for children aged 7–18, safeguarding is a fundamental requirement of your use of the Platform.

5.5 Platform-Only Communication

All communication with Students and Parents must take place through the Platform. Your professional-boundary obligations, including the prohibition on sharing personal contact details and on contacting Students outside the Platform, are set out in full in Section 8.2 and apply in full.

5.6 Tutor Reliability Ladder

This sets out what happens when a tutor continuously reschedules, cancels or fails to show, which disrupts a student’s learning and puts the relationship at risk.

5.6.1 What counts, and what does not

There are three offences, defined by the notice the tutor gives. They are counted separately and never pooled into a single score.

  • No-show. The tutor does not attend, or cancels less than 1 hour before the session. This strands a student in real time and is the most serious. A session also counts as a no-show when a Student or Parent reports one and Studia’s review decides you did not attend, including joining more than 15 minutes after the start.
  • Late cancel. The tutor cancels between 1 and 24 hours before.
  • Reschedule. The tutor moves a session with 24 hours or more notice. Fine in isolation, and only a problem as a habit.

Fault attribution is strict. Only tutor-initiated incidents count against the tutor. If a student or parent no-shows or cancels late, it never touches the tutor’s record.

5.6.2 The ladder

Offence1st2nd3rd
No-showCheck-inPause new students plus intervention and/ or offboard according to Studia’s discretionOffboard, after a review
Late cancel, under 24 hoursLogged, no actionChat with the Studia teamPause new students plus check-in
Reschedule, 24 hours or moreNo actionNo actionCheck-in

5.6.3 How the counts reset

No-shows and late cancels are counted over a rolling 12 months. Older incidents drop off, so a long-standing reliable tutor is never judged on slips spread across years.

Reschedules reset each academic term. A separate cap also applies: moving the same session three times triggers a check-in regardless of the count.

A pause only pauses new matches. Current students are untouched. The duration is up to Studia’s discretion.

5.6.4 What each step means

  • Check-in. A light, friendly flag from the team: we noticed this, is everything okay?
  • Chat with the Studia team. A proper conversation to understand what is happening and agree a path forward.
  • Intervention. A serious conversation, reserved for repeated no-shows, that accompanies the pause.
  • Pause new students. No new matches either indefinitely or according to Studia’s discretion. Existing students continue as normal.
  • Review and offboard. The last resort, and never a surprise. It follows an explicit heads-up. After a review, the tutor receives any outstanding balance, but Studia removes access to their account and offboards their students onto other tutors. A tutor who is offboarded cannot apply to tutor at Studia again.

6. Revenue and Payments

6.1 Commission and Your Earnings

For each paid 1-to-1 Session, your earnings are worked out as follows:

  • VAT. The Session Fee includes VAT at 20%, so one sixth of it is VAT. Studia deducts this and pays it to HMRC.
  • Card processing fee. Stripe’s actual fee for that payment is deducted. It varies by card type.
  • The split. You receive 70% of what remains, rounded down to the nearest penny. Studia keeps 30% as its Commission.

Example (£40 session): Session Fee £40.00; VAT £6.67; Stripe fee £0.80 (example only); amount to split £32.53; your earnings £22.77; Studia Commission £9.76.

The same rate applies to every tutor. Each booking records the rate in force when it was made. Studia will give you 30 days’ written notice before changing the Commission rate.

6.2 Pricing

For 1-to-1 Sessions, you set your own hourly rate within the range shown on the Platform. Studia may change the available range with reasonable notice, and may temporarily restrict rate changes while it tests Platform features. The price shown when a Student books is fixed for that session. Later changes to your rate do not affect sessions already booked. Free introductory sessions are 30 minutes long and earn nothing. Where Studia offers a Student a discount, Studia bears its cost. Your earnings are calculated on your full listed price, up to the amount Studia actually received for that session.

6.3 When You Are Paid

You must keep a valid, fully verified Stripe connected account with payouts switched on. Stripe holds your bank details; Studia never sees them.

  • Transfer to your Stripe account. A session counts as complete once its scheduled end time passes. Your earnings are transferred to your Stripe account at 14:00 on the third Working Day after the day the session ended (UK date). A bank holiday in that period adds one Working Day. For example, a session ending on Wednesday is transferred the following Monday.
  • Payout to your bank. Every Monday at 15:00, Studia instructs Stripe to pay your full available Stripe balance to your bank account.
  • Held payments. If your Stripe account cannot receive transfers, your earnings are held and tried again at each daily run until they can be paid.
  • Your records. You can see your balances and the history of each transfer, with its booking reference, under Settings > Payments. You can also see them in your Stripe dashboard through “Manage Stripe Connection”.

You are responsible for your own tax reporting and payment (see Section 3.3).

6.4 Cancellations, Refunds and Deductions

You authorise Studia, as your agent, to process cancellations and refunds to Students on your behalf in line with this Section and the cancellation policy shown at booking.

6.4.1 Cancellations before a session.

  • If a Student cancels 24 hours or more before the session, they receive a full refund.
  • If a Student cancels less than 24 hours before, it becomes a request to you. If you approve it, they receive a full refund. If you decline or do not reply before the start time, there is no refund and you are paid as normal.
  • If you cancel (allowed up to one minute before the start), the Student always receives a full refund.
  • You are not paid for a cancelled session.

6.4.2 Reporting a problem. You or a Student may report a no-show in the lesson once 15 minutes have passed since the start, or by contacting support@studia.io, within 48 hours of the session’s scheduled end. When a no-show is reported, Studia holds the payment for that session while it looks into the report. Each case is decided on its merits and in a way that is fair to you and the Student. Nobody is penalised automatically, because a no-show can be caused by a technical fault on either side.

6.4.3 Refunds after a session. If a Student is refunded after a session because of your non-performance (for example, not attending, cancelling late without adequate notice, or materially failing to deliver the session):

  • if you have not yet been paid for it, you will not be paid for that session;
  • if it has reached your Stripe account but not your bank, Studia reverses that transfer;
  • if it has already reached your bank, the amount is recorded as owed and withheld from your next earnings until cleared.

If you stop teaching before an amount owed is recovered, Studia writes it off. Partial refunds are reviewed individually by the Studia team.

6.4.4 Card disputes (chargebacks). If a Student disputes a card payment before you are paid, your earnings for that session are held until the dispute is resolved. You are paid if Studia wins and not paid if it loses. If you have already been paid and Studia loses, the amount is reversed or withheld as in 6.4.3.

6.4.5 We will tell you. Holds are shown on the booking in the Platform, as “Under review”. If you are the one marked as missing, we also text you. A member of the Studia team will email you to explain any reversal or deduction.

6.4.6 Technical failures. Studia will not deduct anything from your earnings for refunds caused by Platform technical failures.

6.5 Disputed Payments

If you believe a deduction or payment is incorrect, you may raise a dispute by contacting support@studia.io. Studia will investigate and respond within 14 days.

7. Enhanced DBS Requirements

7.1 Mandatory Requirement

You must hold a valid Enhanced DBS certificate with Children’s Barred List check before you may have any contact with Students on the Platform. You may not teach, message, or interact with any Student until your DBS verification is confirmed by Studia.

7.2 Verification Process

You can meet this requirement in one of two ways:

(a) You already hold a certificate. Send a clear, legible scan of your full Enhanced DBS certificate (with Children’s Barred List check) to support@studia.io. Studia will verify it before you can teach. If your scan is unclear or incomplete, or Studia cannot verify the certificate, you will need a new check under (b).

(b) You need a new check. Apply through U-Check, Studia’s chosen DBS provider. You must cooperate fully with the application and provide all requested documents promptly.

7.3 Cost

If you already hold a valid certificate and Studia verifies it under 7.2(a), there is no cost from Studia.

If you need a new check, you choose how to pay:

  • Pay upfront. You pay U-Check directly when you apply.
  • Clawback. Studia pays U-Check for you, and recovers the cost (£56.70 at the time of writing) at £5.67 per session from your earnings over your first 10 paid sessions. If you stop teaching before it is fully repaid, Studia writes off the remaining balance.

Renewals are required every 3 years and are paid by you (£56.70 at the time of writing). You must register with the DBS Update Service and keep that registration current while you teach on the Platform. You must give Studia your certificate number and issue date, and you authorise Studia to check its status through the Update Service.

7.4 Ongoing Duty to Disclose

You must notify Studia immediately (and in any event within 24 hours) of:

  • Any change in your criminal record status, including any caution, conviction, or reprimand
  • Any allegation, investigation, or proceedings relating to your conduct with children or vulnerable persons
  • Any other matter that may impact your suitability to work with children

7.5 Consequences of Non-Compliance

Studia checks the validity of your Enhanced DBS certificate through the DBS Update Service. If your certificate or Update Service registration lapses, if a status check is not clear, or if you fail to disclose information under Section 7.4, your access is suspended immediately and you may not teach or contact any Student.

8. Safeguarding and Conduct

8.1 Position of Trust

As a Tutor on a platform serving children aged 7–18, you occupy a Position of Trust within the meaning of the Sexual Offences Act 2003 (sections 16–24). This creates enhanced legal duties and potential criminal liability for any inappropriate conduct towards Students.

8.2 Professional Boundaries

You must at all times:

  • Maintain clear professional boundaries with all Students
  • Keep all communication with Students and Parents on the Platform
  • Never share your personal contact details with Students or Parents
  • Never engage with Students on social media or any platform outside Studia
  • Never arrange to meet Students in person
  • Communicate in a manner appropriate to the age of the Student

8.3 Reporting Obligations

You must immediately report any safeguarding concern to safeguarding@studia.io, including:

  • Any disclosure by a Student of abuse, neglect, or harm
  • Any behaviour by another Tutor, user, or third party that may put a Student at risk
  • Any indication of self-harm, suicidal ideation, or mental health crisis by a Student
  • Any attempt by a Student to share personal contact details or arrange off-platform contact

You do not need proof to report a concern. Safeguarding disclosures by Students trigger a supportive response, not a disciplinary one.

8.4 Zero-Tolerance Conduct

The following will result in immediate termination of your access to the Platform and referral to the relevant authorities (including police, social services, the Disclosure and Barring Service, and/or the Teaching Regulation Agency as appropriate):

  • Grooming or sexual communication with a Student
  • Requesting, sharing, or possessing sexual images involving a minor (CSAM)
  • Encouraging self-harm or suicide
  • Hate speech or discrimination
  • Threatening or violent behaviour towards any user
  • Attempting to arrange off-platform contact with a Student
  • Any other conduct that threatens the safety or wellbeing of a child

There is no appeal against termination for zero-tolerance conduct.

9. Monitoring and Safety

9.1 No Session Recording

Studia does not record 1-to-1 Sessions. No video or audio capture of your sessions is stored or retained.

9.2 Content Monitoring

Studia uses AI-powered moderation and human safety review to keep Students safe. Text chat and audio in 1-to-1 Sessions are analysed in real time to detect safety risks. This analysis is used only for content moderation and safety; it is not retained as a recording of the session, and it is not used to train any model. Moderation checks every message. Trained Safety Team members review flagged content. You consent to this monitoring as a condition of providing educational services to minors through the Platform.

10. Intellectual Property

10.1 Ownership of Teaching Materials

You retain ownership of all original Teaching Materials that you create and upload to the Platform. Studia does not claim ownership of your original content.

10.2 Licence to Studia

Studia may also use your Teaching Materials to maintain, analyse and improve the Platform and to develop new features and services, which may include tools that use automated or machine learning technologies. Studia will remove or de-identify Student personal data before any such use

10.3 Restrictions on Studia’s Use

Studia will not:

  • sub-license your Teaching Materials to any third party outside the Platform without your written consent;
  • use your Teaching Materials to develop, train, fine-tune or evaluate any AI model;
  • permit any model provider or supplier to use your Teaching Materials to train or improve its own models; or
  • claim authorship or ownership of your original Teaching Materials.

10.4 Marketing Use

You grant Studia a non-exclusive, royalty-free licence to use short excerpts of your Teaching Materials — including screenshots, single pages, and extracts — to market and promote Studia and the Platform. Studia will credit you as the author where the format reasonably allows, and will not present your Teaching Materials as Studia’s own work. Studia will not reproduce a Teaching Material in substantially its entirety, or make it available for download outside the Platform, without your prior written permission. You may object to the use of any particular Teaching Material by writing to support@studia.io. Studia will stop using it in new materials and remove it from its website, apps and owned social channels within 30 days. This licence continues while you tutor on the Platform and for 12 months afterwards, subject to this Section 10.4.

10.4.1 Use of your name, likeness, image, voice, introduction video and profile photo is governed by Section 3.7, not this Section.

10.5 Platform Intellectual Property

All rights in the Platform itself — including its design, software, branding, features, and any materials created by Studia — belong to Studia. Nothing in these Terms grants you any rights in Studia’s intellectual property.

11. Content and Materials

11.1 Quality Standards

Teaching Materials you upload or deliver through the Platform must be accurate, up-to-date, and educationally sound; aligned to relevant UK curriculum standards where applicable; original or properly licensed; and age-appropriate for Students aged 7–18.

11.2 Prohibited Content

You must not upload or deliver content that is inaccurate, misleading, or educationally harmful; contains inappropriate, offensive, discriminatory, or illegal material; infringes the intellectual property rights of any third party; or promotes commercial products or services unrelated to education.

11.3 Content Removal

Studia reserves the right to remove any Teaching Materials or content that breaches these Terms, the Community Guidelines, or applicable law. Where reasonably practicable, Studia will notify you before or promptly after removal and provide an explanation.

12. Non-Circumvention

12.1 Restriction

For a period of 24 months after you last teach a particular Student on the Platform, you may not provide private tutoring or educational services to that Student outside the Platform without Studia’s prior written consent.

12.2 Scope and Limitations

This restriction applies only to Students you have actually taught through the Platform — not to all Studia users or to Students generally. It does not prevent you from providing tutoring services through other platforms or independently, accepting a Student who independently contacts you (provided you did not solicit that contact), or teaching a Student you tutored before they joined Studia.

12.3 Consent Requests

If you wish to provide tutoring services to a Student outside the Platform, you may request Studia’s written consent by emailing legal@studia.io. Studia will not unreasonably withhold consent.

13. Data Processing

13.1 Studia as Data Controller

Studia is the data controller for all personal data processed through the Platform, including Student data, Parent data, and your personal data as a Tutor. Sophos Education Ltd is registered with the Information Commissioner’s Office under registration number ZC191104.

13.2 Processing of Your Personal Data

Studia processes your personal data (including your name, contact details, qualifications, DBS verification status, payment information, session activity, and Teaching Materials) in accordance with our Privacy Policy. Your DBS result is criminal offence data under Article 10 UK GDPR. Studia processes it under its legitimate interests in child safety (Article 6(1)(f)) and the safeguarding condition in Schedule 1 of the Data Protection Act 2018, and holds an Appropriate Policy Document for it, available on request from privacy@studia.io. Access to your certificate is restricted and every access is logged.

13.3 Student Data During Sessions

During sessions, you will have access to Student personal data solely for the purpose of delivering educational services. You must process Student data only for educational purposes, and only through the Platform or a calendar Studia synchronises for you. Where you connect an external calendar, Studia writes the Student’s name and session details into it so that you know who you are teaching. Keep that calendar under your sole control, do not share it, and disconnect it when you stop teaching. Otherwise you must never extract, copy, download or retain Student personal data outside the Platform, and never share it with a third party.

13.4 GDPR Compliance

You must comply with the UK General Data Protection Regulation, the Data Protection Act 2018, and the Data (Use and Access) Act 2025 to the extent they apply to your processing through the Platform. Any breach may result in termination of your access and, where required, notification to the Information Commissioner’s Office. Studia is the controller of your own personal data as a Tutor, and you have the rights set out in our Privacy Policy, including access, rectification, erasure, restriction, portability and objection. If you are unhappy with how we have handled your personal data, write to privacy@studia.io; we acknowledge within five working days and answer within one calendar month. You may also complain to the Information Commissioner’s Office at ico.org.uk.

14. Termination

14.1 Termination by Studia

We may terminate or suspend your access to the Platform:

  • Immediately, without notice, for failure to comply with these Terms, including the User Code of Conduct, which is considered a material breach of these Terms;
  • Immediately, for other serious cause including, but not limited to, sexual or other unwelcome harassment, threats or intimidation, fraud, falsification of documents or qualifications, safeguarding risk, failure to maintain a valid Enhanced DBS certificate, or a criminal conviction or caution relevant to working with children;
  • Upon 30 days’ written notice, for any other reason at Studia’s discretion.

Studia may also delete or restrict access to or use of all related information and files. Studia will not be liable to you or any third party for any modification, suspension, or termination of your access to the Platform, or for loss of related information.

14.2 Account Inactivity

If you have not logged into your Studia account for more than 180 days, your account may be suspended and your profile removed from search. Suspension does not affect earnings you have already accrued: we pay any outstanding balance to your connected Stripe account.

14.3 Suspension for Breach

If Studia suspends or terminates your account due to a breach of these Terms or any of Studia’s policies, you understand and agree that you shall receive no refund or compensation for any unused lessons (whether scheduled or not), or for loss of any content or information associated with your account. Studia may deduct from your outstanding earnings any refund issued to a Student because of your breach, any unrepaid DBS clawback balance under Section 7.3, and any other sum you owe us. We will tell you what has been deducted and why. Any balance remaining is paid to you under Section 14.5.

14.4 Termination by You

You may terminate your use of the Platform at any time by notifying Studia in writing to support@studia.io. You may terminate immediately if Studia commits a material breach that is not remedied within 14 days of your written notice specifying the breach.

14.5 Effect of Termination — Access and Earnings

Upon termination, your access to the Platform will be removed. Any outstanding earnings owed to you will be paid in the normal payment cycle under Section 6.3, and in any event within 30 days of the termination date, less any deductions for refunds attributable to you. You must cease using any Studia branding, logos, or proprietary materials immediately.

Studia will manage the transition for your Students, including notifying them of your departure and offering alternative Tutors where possible.

16. Insurance

As the supplier of your tutoring services, you are responsible for any claim by a Student or Parent arising from the tutoring you deliver. Studia is not liable for your teaching or conduct. We strongly recommend that you hold your own professional indemnity insurance that covers your work through the Platform. You are responsible for your own insurance arrangements; Studia does not provide insurance cover for tutors.

17.1 Your Indemnity to Studia

You agree to indemnify and hold Studia harmless from any claims, losses, damages, costs, or liabilities that arise from your failure to follow safeguarding obligations, your failure to maintain professional boundaries with Students, any conduct by you that harms or risks harm to Students, your breach of data protection obligations, or your breach of any other provision of these Terms.

17.2 Limitation of Studia’s Liability

Studia’s total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid to you through the Platform in the 12 months preceding the event giving rise to the claim. 18. Dispute Resolution

18.1 Informal Resolution

If a dispute arises under or in connection with these Terms, the parties agree to first attempt to resolve it informally by contacting legal@studia.io. Studia will acknowledge your communication within five working days and will answer it within one calendar month.

18.2 Mediation

If informal resolution is unsuccessful, either party may propose mediation through a mutually agreed mediator. Both parties must agree to mediation; neither party is obligated to participate. Each party shall bear its own costs of mediation, and the mediator’s costs shall be shared equally unless otherwise agreed.

Studia may amend these Terms. We will give you at least 30 days’ written notice of any material change. If you do not agree, you may stop teaching on the Platform before the effective date, and Studia will pay any earnings you have already accrued. Continued use after the effective date constitutes acceptance.

19.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

19.5 Assignment

You may not assign, transfer, or sub-contract your rights or obligations under these Terms without Studia’s prior written consent.
